1. General Conditions
1.1 These Terms and Conditions (hereinafter the Terms) determine the money lending borrowing and crowd funding application procedures, other requirements, and conditions set forth herein.
1.2 These Terms are available to everyone for review and include the basic conditions for lending and borrowing and crowd funding.
1.3 The terms and definitions used for these Terms are the following:
  1. M2M Funds (the Operator) is a network of individuals and entities where members are voluntarily willing to lend and borrow money between each other using the Operator’s Website.
  2. A loan is a debt provided by one member of M2M Funds to another for a specified period of time at a specified interest rate.
  3. The members are individuals and entities are registered in M2M Funds.
  4. A Loan Request is a type of electronic document posted on the Website by a member for the purpose of borrowing money.
  5. A Loan Offer is a type of electronic document posted on the Website by a member for the purpose of lending money.
  6. The registered data is the information listed in a member profile at the time of registration. It includes, but is not limited to identification information, payment details, and communication methods.
  7. The verified data is information verified by M2M Funds and includes, but is not limited to:

verification of identification information by uploading copies of a photo ID (passport, driving licence government ID etc)

verification of identification information by uploading copies of a proof of address (electricty bill, water bill, bank statement etc)

verification of company registration and license documents where deemed necessary.

1.4 By accepting these Terms and Conditions, members agree that the Operator tracks member Orders, keeps the records, and does not loan or borrow money from/to the members. The Operator cannot be held accountable for any loans (debt) issued between the members.
2. Member Requirements and Regulations
2.1 Members are only permitted to hold one account. Any breach of this term will result in termination or the member accounts.
2.2 Registration on behalf of someone else or using another persons account is not permitted. Any breach of this term will result in termination or the member accounts.
2.3 Members must be at least 18 years of age.
2.4 Loans are issued directly between members through their respective M2M Funds accounts.
2.5 The minimum term of a loan is three days, the maximum term is 30 days.
2.6 The minimum loan amount is US$50, the maximum amount is US$1,000. Maximum amount that you can lend at any one time is US$10,000.
2.7 An unlimited number of loans can be issued, differing in amounts, terms, and interest rates up to the maximum limit of US$10,000.
2.8 Members can issue 2 types of loan, Standard Loans and Guaranteed Loans.
2.9 M2M Funds members receive a Rating based on a financial stability analysis.
2.10 Credit ratings are increased or decreased based on member verification, loans issued and borrowings repaid
2.11 Interest starts accumulating from the moment a member has transferred loan funds  from their M2M Funds account to the borrowers M2M Funds account.
2.12 If a borrower fails to repay a loan, the lender is paid by M2M Funds in exchange for the right to claim the debt from the borrower. Loans are redeemed at par value (loan amount), plus a minimum income equal to 0.065% per day. This rule only applies to creditors using the Guaranteed loan option.
2.13 Any amount exceeding $50 can be withdrawn from member account balance. We may request additional information if we have sufficient grounds to believe that the user is not who he is pretending to be. As a result of additional information review, the request to withdraw funds may be denied to prevent any fraudulent operations.
2.14 Withdrawal requests are usually processed within 24 hour period however in many cases the processing time may be less than 1 hour.

Abovementioned schedule does not apply to withdrawal requests suspended by M2M Funds. M2M Funds reviews suspended requests in the order they were received, therefore, you should patiently await the resolution of such review.

2.15 Loans issued using the Standard option are subject to a 10% fee deduction from the loan interest. Loans issued using the Guaranteed option are subject to a fee 50% deduction from the loan interest. Fees are deducted from the member account when the loan is issued.
2.16 If a lender uses the Guaranteed option, then he or she agrees that the ownership of the loan can be transferred to M2M funds if the loan is in default.
2.17 When requesting a loan, the member agrees that if he or she does not fulfill the obligations, his or her personal data, any information, and ownership of the loan can be transferred to M2M funds if the loan is in default.
2.18 By accepting these Terms, members consent to the processing and storage of their personal data.
3. Breach of Terms that can lead to accounts being terminated
3.1 Using other members accounts.
3.2 Registering an account on behalf of another person
3.3 Having more than one account
3.4 Attempts to hack into the website operation
3.5 Using software bots to access and alter accounts
3.6 Misleading members by creating fake pages on M2M Funds website
3.7 Providing false information on account profile
3.8 Registering accounts under the age of 18 years old.
3.9 Insulting other members or M2M Funds employees
3.10 Attempts to breach the laws in the jurisdiction of residence
3.11 Attempts to add money to an account from another persons account, as well as using funds obtained by breaking the law
3.12 Withdrawal of money to another persons account;
3.13 Dissemination of false information about the M2M Funds or members
3.14 In cases when explanation of how the infringement was detected can compromise the infringement detection system, M2M Funds reserves the right to terminate  any member account for any violation of these Terms and Conditions of Use, without giving reasons
3.15 Failure to repay loans
4. Validity of Terms and Conditions
4.1 These Terms come into full effect from the moment they are accepted by a member and remain in force until the Operator changes them
4.2

The Operator is not responsible for the consequences associated with:

  1. Unwillingness of a member to issue an approved loan.
  2. Provision of false information to the Operator or to another member.
  3. Cases when a malefactor accesses a users profile, in one way or another, thereby obtaining access to the member M2M Funds profile.
4.3 The Operator does not control the actions or omissions of the members.
4.4 Members may use the services offered by M2M Funds only within the confines of the Acceptable Use policy.
4.5

Members agree that for any violation of these Terms and Conditions, their account will be terminated and the entire balance of their account will be forfeited.

4.6 M2M Funds reserves the right to block any member’s profile without any explanations for any violation of these Terms and Conditions.
5. Refund Policy
5.1 M2M Funds shall not in any way refund any money that has been utilised for loans, membership or M2M Funds fees. Members may only withdraw funds from their account balance.
5.2 Any member attempting to charge back or cancel any payments made to M2M Funds shall be in violation of these terms and conditions and their account will be terminated with immediate effect.
5.3 M2M Funds shall not be liable for any losses incurred by members through the failure of a member to repay a Standard option loan and NO REFUNDS will be given.

Crowd Funding Terms and Conditions

6. Project Owner and Backer Contracts
6.1 When a member posts a project on M2M Funds, they are inviting other members to form a contract with them. Members that back a project is accepting the project owners offer, and forming that contract.

M2M Funds is not a part of this contract, the contract is a direct legal agreement between project owners and the backers.

6.2 When a project is successfully funded, the project owner must complete the project and fulfil each reward in order satisfy their contractual obligation to their backers.
6.3 Project owners are obligated to provide a high standard of effort, honest communication, and a dedication to bringing the project to life.
6.4 Backers must understand that when they back a project, they do so at their own risk. There may be changes or delays, and the possibility that  something could happen which prevents the project owner from being able to finish the project as promised.
6.5 If a project owner is unable to complete their project and fulfil rewards, they fail to live up to the basic obligations of this agreement.

To right this, they must make every reasonable effort to provide the best possible conclusion for backers. A creator in this position has only remedied the situation and met their obligations to backers if:

  • they provide an explanation on what work has been done, how funds were used, and what prevented them from finishing the project
  • they work in good faith to bring the project to the best possible conclusion in a reasonable timeframe
  • they are able to demonstrate that they have used funds appropriately and made every reasonable effort to complete the project
  • they have been honest, and have made no material misrepresentations in their communication to backers
  • and they offer to return any remaining funds to backers who have not received their reward (in proportion to the amounts pledged), or explain how those funds will be used to complete the project in some alternate form.

The project owner is solely responsible for fulfilling the promises made in their project. If they are unable to satisfy the terms of this agreement, they may be subject to legal action by backers.

7. Project Funding
7.1 Members accept that they pledge funds to a project TOTALLY at the own risk. Responsibility for finishing a project lies entirely with the project owner. M2M Funds does not hold funds on project owner behalf, cannot guarantee project owners work, and does not offer refunds.
7.2 You are only charged if the project reaches its fundraising goal. When you pledge funds will be transferred from your M2M Funds account balance to your M2M Funds reserve account. Your funds will only be transferred to the project owners account if the project has reaches its fundraising goal. If the campaign does not reach its fundraising goal, your funds will be transferred back to your M2M Funds account balance.
7.3 You can change or cancel your pledge at any time before the last 24 hours of the project funding campaign or  if that action would drop the project below its funding goal. Once the project has been funded, you can only cancel or change your pledge directly with the project owner.
7.4 The Estimated Delivery Date is the project owners estimate. The date listed on each reward is not a guarantee to fulfil the project by that date.
8. Project Owners
8.0 When you submit a project for review, or launch a project, you agree to these terms:
8.1 You can refund individual pledges if you want. After your project has been funded, you can cancel and refund a backers pledge at any time. If you do, you have no further obligation to that specific backer, and no agreement exists between you.
8.2 M2M Funds will charge our 5% admin fee before putting funds in your account. M2M Funds will subtract fees before transmitting the proceeds of a campaign. You should include this fee in your funding goal to ensure you receive sufficient funds for your project.
8.3 Do not count your chickens before they hatch. Do not assume you will be able to launch your project when you want; there could be a reason we are not able to accept your project. Do not take any actions on your project until you actually have the ability to withdraw it from your account
8.4 M2M Funds can use the content you submit. You grant to us the worldwide, non-exclusive, irrevocable, royalty-free, transferable right to use the copyright, publicity, trademark, and database rights with respect to your Content.
8.5 When M2M Funds use the content, we can make changes, like editing or translating it. You grant us the right to edit, modify, reformat, delete, or translate any of your Content.
8.6 Your Content may not contain third-party copyrighted material unless you have permission from the rightful owner of the material, or you are otherwise legally entitled to post the material.
8.7 You are responsible for paying all royalties and other amounts owed to any person or entity based on your Content and absolve M2M Funds of any responsibility for payment.
8.8 You promise that if M2M Funds uses your Content, we will not be violating any rights or copyrights. You promise that use of your Content will not infringe or violate the rights of any third party, including (without limitation) any privacy rights, publicity rights, copyrights, contract rights, or any other intellectual property or proprietary rights.
8.9 You are responsible for the Content you post. All information submitted to the Site, whether publicly posted or privately transmitted, is the sole responsibility of the person from whom that content originated.
8.10 M2M Funds is not responsible for mistakes in your content. M2M Funds will not be liable for any errors or omissions in any content.
9. M2M Funds Rights
9.0 M2M Funds reserves the right to:
9.1 M2M Funds can make changes to the M2M Funds WebSite and Services without notice or liability.
9.2 M2M Funds have the right to decide who is eligible to use M2M Funds. We can cancel accounts or decline to offer our Services. We can change our eligibility criteria at any time. If these things are prohibited by law where you live, then we revoke your right to use M2M Funds in that jurisdiction.
9.3 M2M Funds have the right to cancel any pledge to any project, at any time and for any reason.
9.4 M2M Funds have the right to reject, cancel, interrupt, remove, or suspend any project at any time and for any reason.
9.5 M2M Funds is not liable for any damages as a result of any of these actions, and will not to comment on the reasons for any such action.
9.6 M2M Funds services are provided to you as is and where is without warranty of any kind, express or implied.

M2M FUNDS SPECIFICALLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. NO ADVICE OR INFORMATION (ORAL OR WRITTEN) OBTAINED BY YOU FROM M2M FUNDS SHALL CREATE ANY WARRANTY.
9.7 You agree to defend, indemnify, and hold M2M Funds harmless from all liabilities, claims, and expenses (including reasonable attorneys fees and other legal costs) that arise from or relate to your use or misuse of M2M Funds.
9.8 To the fullest extent permitted by law, in no event will M2M Funds, its directors, employees, suppliers, or content providers be liable for any indirect, incidental, punitive, consequential, special, or exemplary damages of any kind resulting from your access to, use of, or inability to access or use the Services or for any lost profits, data loss.
10. Confidentiality
10.1 The M2M Funds fully complies with the Privacy Policy and shall in no way share member information with any third party unless legally required to do so.
11. Final Terms and Conditions
11.1 If a member does not agree that the legal relationship between him and the Operator of M2M Funds is determined solely by the above Terms and Conditions, he/she must immediately contact the support team to close their account and leave this website.
11.2 All disputes shall be resolved by means of negotiations in accordance with these Terms. If the parties fail to achieve agreement, they have the right to appeal to the Paris Court of International Arbitration.
11.3 In all other cases not regulated by these Terms and Conditions, members shall act according to the applicable laws of their countries.
